License and Release for Photos, Videos and Other Content
American Campus Communities, Inc. (“ACC,” “we,” “us” or “our”) is committed to developing a robust online community with the people who provide and use our services, or who may be interested in one day joining an ACC community. We are excited to learn what you think about our properties and services, and welcome any photos, videos, writings or other content that relate to your experience with ACC or at any of our properties that you would like to share with us (“User Content”). This License and Release for Photos, Videos and Other Content (“User Content Agreement”) specifies your rights and our rights with respect to User Content.
If you are a minor, please do not give us User Content or your consent unless you have the permission of your parent or guardian. We encourage you to let us or your parent or guardian know if you have any questions about this User Content Agreement before sending us User Content or providing your consent to us pursuant to the terms of this User Content Agreement.
How We Receive User Content
You give us User Content subject to this User Content Agreement when you respond to our requests for permission to use photos, videos, writings or other content. For example, if we see something you posted, we will contact you or comment on your posting, requesting your permission to use what you have posted or asking you for an original content file. Your affirmative response to our request or sending to us an original content file constitutes your agreement to the terms of this User Content Agreement.
You also may give us User Content subject to this User Content Agreement by posting, sharing or uploading User Content, or commenting on any ACC social media pages or accounts, or by submitting User Content to us through our social media pages or websites. All such posts, uploads, sharing, comments and submissions are User Content subject to this User Content Agreement.
If you do not agree to the terms of this User Content Agreement, do not give us your User Content or provide us with your consent to use your User Content. If you are under the age of 13, please do not send us anything without the consent of your parent or guardian. We do not intentionally collect any personal information from youth under the age of 13 years.
Your License Grant to Us
By providing User Content to us, you are granting ACC a non-exclusive, worldwide, full paid-up and royalty-free, fully assignable, transferable, sublicensable, perpetual, irrevocable license to use, copy, perform and display publicly, distribute, prepare derivative works, and otherwise exploit such User Content, in whole or in part, throughout the world in any form, format, or medium now or hereafter known in connection with the anticipated usages described in this User Content Agreement. The license granted herein extends to ACC’s affiliated companies, agents, representatives, assigns, third party service providers, marketing or promotional agencies, and third party service providers.
Your Consent and Release to Us
If the User Content includes your image, name, photograph, voice, persona, likeness, biography, or other personal identifying characteristics (“Likeness”), then you grant ACC a transferable, irrevocable, sublicensable, worldwide right to use your Likeness in all forms of media now known or hereafter developed in connection with the anticipated usages described in this User Content Agreement. The consent and release granted herein extends to ACC’s affiliated companies, agents, representatives, assigns, third party service providers, marketing or promotional agencies, and third party service providers.
Our Use of User Content
ACC may use User Content on any of its websites, social media pages or accounts, and also in connection with informational or promotional videos, publications, presentations or other content that ACC uses to communicate with members or prospective members of ACC’s various communities, including students, their families and friends, and people working with or interested in working with ACC. ACC may also use and retain User Content for internal purposes.
You agree that we may use the User Content without the payment of money. You also waive any right you may have to inspect or approve any postings or any type of content (digital or otherwise) incorporating your Likeness or User Content.
ACC reserves the right, in its sole discretion, to use or not use any User Content. ACC is not obligated to use any User Content, and may also remove any User Content at any time and for any reason. ACC has no obligation to preserve the User Content, destroy the User Content or to provide copies to you or anyone you designate or acting on your behalf, except as required by law.
Your Warranties with Respect to Your User Content
By providing User Content to us, you represent and warrant that the User Content does not violate this User Content Agreement or applicable laws. You represent and warrant that you have all the rights necessary to allow ACC and our third-party providers to use your User Content as set forth in this User Content Agreement.
You also represent and warrant that you own all rights (including copyrights) in the User Content you post, submit to us or grant us permission to use, and that such User Content will not breach, infringe or contravene another party’s rights, including intellectual property and privacy rights. You agree to tell us if any other company or person claims to own or have rights to or in the User Content, in whole or in part.
Ownership
As between ACC and you, you remain the owner of any User Content. Your ownership is subject to the license, release and consents granted herein.
Promoting Community Spirit
We are interested only in User Content that promotes student success and a positive student environment. User Content should not include anything that is (i) unlawful, threatening, hateful, defamatory, libelous, disparaging, obscene, inflammatory, pornographic, profane, racist, false or misleading, or otherwise objectionable, (ii) infringes, misappropriates, or otherwise violates the intellectual property, privacy or publicity rights of a third party, or (iii) promotes violence, alcohol, firearms or other weapons, or activities that are not conducive to student success, such as hazing, bullying, rowdy parties or unsafe behavior.
Minors Under Age 18
Minors under 18 years of age may have the personal information and content that they have posted to any ACC website or social media page or account removed by sending an email to media@americancampus.com requesting removal. Please note that, while we make reasonable efforts to comply with such requests, deletion of your personal information does not ensure complete and comprehensive removal of that content or information from all sites, services or systems.
Privacy
Any personal information supplied by you will be subject to our privacy policy posted at www.americancampus.com/privacy-policy.
No Confidentiality
You agree that none of the information you provide to us is confidential, and that ACC has no obligation to maintain the User Content as confidential.
Feedback
By submitting any feedback, suggestions, questions, comments and the like (“Feedback”) to us, you agree that we are free to use the Feedback for any purpose without any restriction or compensation to you. Our use of Feedback may include but is not limited to developing, marketing and selling products. By receiving your Feedback, we do not give up any rights to use similar or related feedback, ideas, concepts, know-how, techniques or other information previously known to us, or developed by our employees, or obtained from sources other than you.
Amendment of Terms
ACC reserves the right to modify the terms of this User Content Agreement at any time without prior notice. You therefore should review the current User Content Agreement each time that you provide your consent to us or otherwise submit User Content to us to use. The amended User Content Agreement will be effective once posted, or any later effective date specified on the User Content Agreement.
Governing Law
This User Content Agreement shall be governed by the laws of Texas, and you agree to personal jurisdiction and venue in Travis County, Texas, for the resolution of any and all actions, litigation, claims and disputes, and agree that all actions, litigation, claims and disputes shall be brought in a court of competent jurisdiction in Travis County, Texas.
